甲乙双方经过友好协商，就乙方代理甲方办理国际货物运输的有关事宜达成以下合同：
1、甲方委托乙方代为办理订舱、报关、报验、装箱，转运、代垫代付海运运费等相关运输事宜。
2、甲方委托乙方代为订舱时，甲方应及时送交或者传真给乙方正确、齐备的托运单据。托运单应明确标明甲方订舱单位名称、电话、传真及联系人并加盖公章。托运单内容应注明货物的件数、重量、体积、目的港、装船日期、货物品名、运费条款及特别要求。
3、甲方委托乙方代理报关、报验时，应提供合法、合格、正确、齐全的报关报验单证。依贸易性质不同可包括：合同、发票，商检证书、许可证、核销文件、报关单、手册、装箱单及有关批文等。
4、甲方委托乙方代为办理货物的装箱、中转运输时，应在托运单或者相关函电中予以明示。包括代为联系仓储、装卸、转运、短驳、装拆箱等事宜。
5、为了维护甲方利益，乙方可以为甲方代垫代付海运运费，港口费用及其他代理代办费用。上述款项及运输代理费可采用包干费或者本合同规定的其他方式由甲方支付给乙方，女，遇有关费率调整，应相应调整包干费。
6、甲方在其委托乙方办理的出口代运货物中，不得夹带易燃、易爆物品及国家规定的禁止出口的物品。
7、乙方在接到甲方的订舱单后，应立即前往船公司办理配载等手续。除甲方能证明乙方在配载上有过错外，乙方不承担任何责任。如果货物未能按如期配载，乙方应及时将有关情况通知甲方。
8、乙方接到甲方的订舱单后，甲方要求变更订舱单所列事项的，应在货物装船——天前向乙方出具书面更改单，注明日期并加盖甲方印章。因变更订舱事项所引起的各项费用，由甲方全部承担。
9、除甲方能证明由于乙方的原因造成退税单、核销单等单据不能按期退交外，乙方不承担任何责任但乙方应及时以口头或者书面形式告知甲方，并协助甲方尽快收回。
10、甲方要求货物紧急出运时，应事先在托运单“特别要求声明”中注明或者以其他书面形式通知乙方，并由乙方最后确认航期，否则乙方不承担延误运输责任。
11、甲方同意于船开后_____天内，将乙方代垫代付的海运运费、港口费用、其他代理代办费用及运输代理费以______方式付给乙方。
12、甲方如未按照合同的规定准时付费，每逾期一天，应向乙方支付未付部分万分之五的违约金。在甲方未按照合同约定支付乙方费用时，乙方有权滞留相应的运输单据，由此产生的所有损失和责任由甲方承担。
13、甲方未及时付费造成承运人依法留置货物的，由甲方自行承担责任。
14、如货物的灭失或损坏是由于我国《海商法》第五十一条所列明的原因造成的， 乙方不承担任何责任。
15、乙方在代理货物运输的过程中应尽心尽责，对于因乙方的过失而导致甲方遭受的直接损失和发生的费用承担责任，以上损失不包括货物因延迟等原因造成的经济损失。在任何情况下，乙方的赔偿责任都不应超出每件______元人民币或每公斤______元人民币的责任限额，两者以较低的限额为准。
16、本合同项下发生的任何纠纷或者争议，应提交______海事法院审理。

目前公司(甲方)业务扩大，车辆配备尚不齐全，在保证公司事务正常处理的前提下，雇佣公司内部员工(乙方)的私有车辆。为确保双方责任明确，及利益保障，特此协议如下内容：
一、甲方的权利和义务
1.乙方的车辆必须具备完整的车辆相关手续，如：驾驶证、车辆保险、证照年检、事故处理、维护保养等各项手续。甲方有权对乙方的相关手续进行核查、备案、存档。
2.协议期内乙方必须服从甲方正当合理的车辆使用安排。
3.协议期间甲方有权对乙方的车辆违约行为做出相应处罚。
二、乙方的权利和义务
1.乙方在履行协议期间，必须按照国家规定按时办理相关手续、费用和保险;否则，因此导致的所有损失，均由乙方承担。
2.协议履行期间，燃料(柴油)价格在 元/升，则车辆雇用价不变;如价格超出上述的范围，则相应扣除或补助因油价浮动所造成的运输成本差额(低于以上价格范围时，由甲方提前通知乙方;高于以上价格范围时，需乙方提前申请)。
3.甲方在使用乙方车辆时，因乙方的责任导致甲方员工受到伤害或影响甲方工作的，由乙方赔偿甲方全部损失，并承担甲方员工因此发生的`所用费用。
4.乙方必须以公司事务的处理为先，积极配合车辆调度者的安排。
5.乙方必须注意维护公司形象，注重个人卫生及礼仪礼节，对待用车人时确保自己的言行举止不会对公司造成负面影响。
三、用车结算
1.因公使用乙方车辆时，乙方必须做好《车辆行驶记录表》登记，以便于年底核算，发放补贴。
2.实际用车核算甲方依据《派车单》及《车辆行驶记录表》登记之记录，计算公式为：实际行车公里数× 元/公里=实际发生费用。
3.甲方给予乙方补贴基数为每年 15000 元整，既：当按照公式计算实际发生费用未达到该补贴基数时，仍按照基数发放补贴给车主;当实际发生费用超出补贴基数时，则按照实际发生费用全额补贴。
4.所有用车记录甲方每月 日统计，制单审核，于年底一次性给予补贴。
四、 其他协议项
1.若乙方各项手续年检、违规处理不及时，甲方有权终止合同。
2.本协议双方签字生效，一式两份，甲乙双方各持一份;若双方发生争议，双方协商解决，协商不成可以提交到甲方当地人民法院申请仲裁。
3.本协议未尽事宜由双方另行签订补充协议，补充协议的内容与本协议具有同等法律效力。

13.装运条款：

卖方应在合同规定的装运日期前30天，以电报/电传/传真通知买方合同号、品名、数量、金额、包装件、毛重、尺码及装运港可装日期，以便买方安排租船/订舱。装运船只按期到达装运港后，如卖方不能按时装船，发生的空船费或滞期费由卖方负担。在货物超过船舷并脱离吊钩以前一切费用和风险由卖方负担。

14.装运通知

15.质量保证：
quality guarantee ：
货物品质规格必须符合本合同及质量保证书之规定，品质保证期为货到目的港_____个月内，在保证期限内，因制造厂商在设计制造过程中的缺陷造成的货物损害应由卖方负责赔偿。

17.索赔
claims：
如经中国_____检验机构复检，发现货物有损坏、残缺或品名、规格、数量及质量与本合同及质量保证书之规定不符，买方可于货到目的港后 天内凭上述检验机构出具的证明书向卖方要求索赔。如上述规定之索赔期与质量保证期不一致，在质量保证期限内买方仍可向卖方就质量保证条款之内容向卖方提出索赔。

18.延期交货违约金
late delivery and penalty
除双方认可的不可抗力因素外，卖方迟于合同规定的期限交货，如买方同意迟延交货，卖方应同意对信用证有关条款进行个性和同意银行在议付货款时扣除本条规定的违约金。违约金总值不超过货物总价值的5%，差率按7天0.5%计算，不满7天仍按7天计算。在未采用信用证支付的情况下，卖方应将前述方法计算的违约金即付买方。
if the sellers fail to make delivery on time as stipulated in the contract ， with exception of force majeure， the buyers shall agree to postpone the delivery on conditions that the sellers agree to amend the clauses of the l/c and pay a penalty which shall be deducted by the paying bank from the payment under negotiation . the penalty ， however ， shall not exceed 5% of the total value of the goods . the rate of penalty is charged at 0.5%for every seven days ， if less that seven days. in case ， the payment is not made through l/c ， the sellers shall pay the penalty counted as above to the buyers as soon as possible.
19.人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履约，卖方概不负责，但卖方应将上述发生的情况及
时通知买方。
force majeure ： the sellers shall not hold any responsibility for partial or total non-performance of this contract due to force majeure . but the sellers shall advise the buyers on times of such occurrence.
20.争议之解决方式：
disputes settlement ：
□任何因本合同而发生或与本合同有关的争议，应提交中国国际经济贸易仲裁委员会，按该会的仲裁规则进行仲裁。仲裁地点在中国深圳。仲裁裁决是终局的，对双方均有约束力。

21.法律适用
law application ：
本合同之签订地、或发生争议时货物所在地在中华人民共和国境内或被诉人为中国法人的，适用中华人民共和国法律，除此规定外，适用《联合国国际货物销售公约》。
